Terms of Service

1. Acceptance of Terms

By visiting stacksentry.ai, creating an account, requesting onboarding, or using any StackSentry service, you agree to these Terms of Service ("Terms"). If you do not agree, please do not use the site or service.

These Terms form a binding agreement between you (and, where applicable, the business you represent) and JOSA Digital LLC ("JOSA Digital," "we," "us," or "our").

2. Description of Service

StackSentry is a software stack management platform designed to help IT teams track SaaS subscriptions, contract renewals, software costs, ownership, and contract risk. The Service currently includes:

• Free account access: A web application for tracking a limited number of software records
• Paid plan onboarding: Pro and Business tiers for teams that need expanded limits, alerts, reporting, and onboarding support

3. Eligibility

You must be:

• At least 18 years old
• Authorized to enter into binding agreements on behalf of any organization you represent

StackSentry is intended for business use by IT professionals and organizational decision-makers. By using the service, you confirm you meet these requirements.

4. Accounts and Subscriptions

When you create or use an account:

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately at support@stacksentry.ai if you suspect unauthorized access
• Free and Pro tier subscriptions may have different feature access, usage limits, and pricing

Pro tier billing is processed through Stripe. By subscribing to Pro, you authorize us (via Stripe) to charge your payment method on a recurring basis per the pricing displayed at time of purchase. You may cancel at any time; cancellation takes effect at the end of your current billing period.

5. Your Data

You retain full ownership of all data you enter into StackSentry — your software records, contracts, vendor information, and costs. We do not claim ownership of your data.

By using StackSentry, you grant us a limited license to store, process, and display your data for the purpose of providing the Service to you. We do not share your data with third parties except as described in our Privacy Policy.

You are responsible for the accuracy of data you enter. Do not enter data you are not authorized to input (e.g., confidential vendor contracts that you don't have rights to share with a third-party platform).

6. User Conduct

You agree not to:

• Submit false or fraudulent information
• Attempt unauthorized access to StackSentry systems, other users' accounts, or our infrastructure
• Use the service to store or transmit malicious code, spam, or harmful content
• Reverse-engineer, decompile, or scrape the StackSentry platform
• Resell or sublicense access to StackSentry without our written consent
• Use the service in violation of any applicable law or regulation

We reserve the right to suspend or terminate accounts that violate these terms.

7. Intellectual Property

All StackSentry software, design, trademarks, logos, and content are owned by or licensed to JOSA Digital LLC. These Terms do not grant you any ownership interest in StackSentry's intellectual property.

Your data remains yours. Our platform remains ours.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

JOSA Digital expressly disclaims all warranties, including:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the service will be uninterrupted, error-free, or always available
• Warranties that renewal alerts or contract tracking will be accurate or timely
• Warranties that the product will launch, meet your specific needs, or achieve any particular outcome

You are responsible for maintaining your own backup records of contract and renewal information. StackSentry is a convenience tool — do not rely exclusively on it for critical business decisions.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JOSA DIGITAL LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND
• LOST PROFITS, LOST DATA, OR MISSED CONTRACT RENEWALS RESULTING FROM SERVICE INTERRUPTIONS OR INACCURACIES
• DAMAGES EXCEEDING THE GREATER OF (A) THE FEES YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00)

This limitation applies regardless of the theory of liability (contract, tort, strict liability, etc.) and even if we have been advised of the possibility of such damages.

10. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or if we discontinue the Service.

Upon termination, your data will be deleted within 30 days per our Privacy Policy.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.

Any dispute arising from these Terms shall be resolved in the state or federal courts of Delaware. You consent to jurisdiction there.

Before pursuing legal action, please contact us at john@josa.digital. We'd rather resolve issues directly.

12. Changes to These Terms

We may revise these Terms at any time. Material changes will be communicated to registered users via email. Continued use of the service after updates constitutes acceptance of the revised Terms.
